Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the websites, products, and services provided by Open Bit Labs, Inc. (“Open Bit Labs,” “we,” “us,” or “our”), including ClicknShip. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Eligibility & accounts

You must be at least 16 years old and able to form a binding contract to use our services. When you create an account, you're responsible for keeping your credentials secure and for all activity that happens under your account. Tell us promptly if you suspect unauthorized use.

2. Use of our services

We grant you a limited, non-exclusive, non-transferable right to use our services in accordance with these Terms. You agree not to:

  • Use the services for any unlawful, harmful, or fraudulent purpose;
  • Interfere with or disrupt the integrity or performance of the services;
  • Attempt to gain unauthorized access to any systems or data;
  • Reverse engineer, copy, or resell any part of the services except as permitted by law;
  • Misuse the services in any way that violates a third party's rights.

3. Service engagements

Where we provide custom software or consulting services, the specific scope, deliverables, timeline, and fees will be set out in a separate written proposal or statement of work (“SOW”). In the event of a conflict between an SOW and these Terms, the SOW controls for that engagement.

4. Fees & payment

Fees for products and services are described at the point of purchase or in the applicable SOW. Unless stated otherwise, fees are exclusive of taxes, are non-refundable, and are due as invoiced. We may suspend services for overdue accounts after reasonable notice.

5. Intellectual property

We retain all rights, title, and interest in our websites, products, and underlying technology, including ClicknShip. For custom work, ownership of deliverables transfers to you as specified in the applicable SOW, typically upon full payment. We retain the right to use general knowledge, methods, and reusable components developed in the course of our work.

6. Customer data

You retain ownership of the data you submit to our services. You grant us the rights necessary to host, process, and transmit that data to provide the services. Our handling of personal information is described in our Privacy Policy.

7. Third-party services

Our products may integrate with third-party services such as carriers, marketplaces, and payment providers. We're not responsible for those third parties, and your use of them may be subject to their own terms.

8. Disclaimers

Our services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the services will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Open Bit Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of these Terms or the services will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

10. Termination

You may stop using the services at any time. We may suspend or terminate access if you breach these Terms or use the services in a way that risks harm to us or others. Provisions that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the “Last updated” date and, where appropriate, provide additional notice. Continued use of the services after changes take effect means you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Open Bit Labs is established, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located there, unless otherwise required by applicable law.
